SECTION 01
Definitions
In these Terms and Conditions, the following terms carry the meanings set out below:
- "Agreement"
- These Terms and Conditions together with any programme confirmation, enrolment form, and applicable payment records.
- "Service"
- All educational programmes, reading groups, study sessions, materials, and digital resources offered by Lateflint.
- "User" / "You"
- Any individual who accesses our website, enquires about, or enrols in a Lateflint programme.
- "We / Us / Our"
- Lateflint, operating at 17 Jalan Bukit Bintang, 55100 Kuala Lumpur, Malaysia.
- "Content"
- All materials, readings, discussion notes, glossaries, workbooks, and other resources provided as part of a programme.
- "Programme"
- A structured educational course offered by Lateflint, comprising sessions held over a defined period.
SECTION 02
Acceptance of Terms
By submitting an enrolment enquiry, making payment, or accessing programme materials, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
- You must be at least 18 years of age to enrol in any Lateflint programme.
- You confirm that you have the legal capacity to enter into a binding agreement.
- If you are enrolling on behalf of another person, you confirm that you have their authority to do so and that they accept these terms.
- These terms apply to all users of our website, including visitors and enrolled participants.
SECTION 03
Service Description
Lateflint provides structured educational programmes focused on general financial literacy and the conceptual understanding of investment-related terminology. Our programmes are designed for adults aged 40 and above, primarily in the Kuala Lumpur area.
Our current programme offerings include:
- Vocabulary of Markets — a four-session introductory study group covering financial terminology.
- Reading Annual Reports for Households — a six-week reading group using publicly available annual reports as educational case studies.
- The Considered Allocator Programme — a twelve-week cohort programme providing a structured grounding in portfolio concepts and decision-making frameworks.
All programmes are delivered in English in Kuala Lumpur, Malaysia. We reserve the right to adjust scheduling and delivery format with reasonable prior notice. Programmes are available to participants based in Malaysia; enrolment from outside Malaysia may be considered on a case-by-case basis.
SECTION 04
Enrolment & Accounts
Enrolment in a Lateflint programme is confirmed upon receipt of full payment and a written confirmation from us.
- You are responsible for providing accurate contact and personal information at the time of enrolment.
- Enrolment is personal and non-transferable without our prior written consent.
- Where participant accounts or online access portals are provided, you are responsible for maintaining the confidentiality of any login credentials.
- You agree to notify us promptly if you become aware of any unauthorised use of your account or access details.
- We reserve the right to decline or cancel an enrolment if we reasonably believe that the information provided is inaccurate or that participation would be unsuitable.
SECTION 05
User Responsibilities
As a participant in a Lateflint programme, you agree to conduct yourself in a manner that supports a respectful and productive learning environment for all participants and facilitators.
You agree to:
- Attend or engage with sessions in good faith and with reasonable preparation.
- Treat fellow participants and facilitators with courtesy and respect.
- Use programme materials solely for personal educational purposes.
- Provide honest feedback when requested, which helps us maintain programme quality.
You agree not to:
- Record, reproduce, or distribute session content or materials without our written permission.
- Share programme materials with persons not enrolled in the programme.
- Disrupt the learning environment for others.
- Use programme discussions as a platform for promoting personal financial products or services.
- Misrepresent your background, qualifications, or identity during enrolment or participation.
- Use our website or resources for any unlawful purpose.
SECTION 06
Intellectual Property
All programme materials, content, branding, and website elements are the intellectual property of Lateflint or our licensed content providers. This includes, without limitation, reading packs, glossary booklets, discussion frameworks, workbooks, and all digital resources.
We grant enrolled participants a limited, non-exclusive, non-transferable licence to use programme materials for personal educational purposes only during the period of their enrolment. This licence does not extend to commercial use, redistribution, public display, or the creation of derivative works.
Where participants contribute written reflections or discussion notes as part of a programme, they retain personal ownership of their own contributions, but grant us a non-exclusive right to use anonymised excerpts for educational and promotional purposes, unless they request otherwise in writing.
SECTION 07
Payment Terms
All programme fees are quoted and payable in Malaysian Ringgit (RM). Current programme fees are displayed on our website and communicated at the time of enquiry.
- Full payment is required to confirm your enrolment unless a payment plan has been agreed in writing.
- Accepted payment methods will be confirmed at the time of enrolment.
- Fees are inclusive of programme materials unless otherwise stated.
Withdrawal and Refund Policy:
- More than 14 days before programme start: Full refund less an administrative fee of RM 50.
- 7 to 14 days before programme start: 50% refund of the programme fee.
- Less than 7 days before programme start: No refund, though you may transfer your place to another person with our written agreement.
- After programme commencement: No refund for sessions already delivered. Partial refunds for remaining sessions may be considered in cases of documented medical necessity at our discretion.
- Where we cancel a programme due to circumstances within our control, a full refund will be issued within 14 working days.
SECTION 08
Programme-Specific Terms
In addition to the general terms above, the following conditions apply to all educational programmes:
- Programmes are delivered as group learning experiences. Individual one-to-one portfolio advice is not provided as part of any programme.
- All case studies and examples used in programmes are for general educational purposes only and do not constitute a recommendation of any specific security, fund, or financial product.
- Participants are encouraged to seek advice from a licensed financial adviser for decisions relating to their personal finances.
- Completion of a programme does not confer any professional qualification, licence, or certification.
- Academic integrity is expected: participants should engage with readings and discussions in good faith and on an individual basis.
- Where a cohort is oversubscribed, places will be allocated on a first-confirmed, first-served basis. A waiting list may be maintained for subsequent intakes.
- We reserve the right to adjust session schedules, facilitators, or content with reasonable notice, where such adjustments do not materially diminish the programme value.
SECTION 09
Disclaimers
Lateflint provides educational programmes aimed at improving general financial literacy. Our services are provided on an "as available" basis and are subject to the following important limitations:
- Nothing in our programmes constitutes investment advice, financial advice, or a recommendation to buy or sell any financial product or instrument.
- We make no representation that participation in our programmes will lead to any particular financial outcome.
- Our facilitators are educators, not licensed financial advisers. Any general discussion of investment concepts is for educational purposes only.
- Information and case studies used in programmes reflect publicly available sources and are accurate to the best of our knowledge at the time of delivery. We do not warrant the ongoing accuracy of third-party sources.
- Participants are solely responsible for any decisions they make with respect to their own finances.
SECTION 10
Limitation of Liability
To the fullest extent permitted under Malaysian law, Lateflint's total liability to any participant arising out of or in connection with these terms or any programme shall not exceed the amount paid by that participant for the relevant programme.
We shall not be liable for any indirect, incidental, or consequential loss, including but not limited to loss of profit, loss of opportunity, or financial loss arising from decisions made by a participant following programme attendance.
Events beyond our reasonable control — including natural disasters, public health emergencies, utility disruptions, or governmental actions — that prevent us from delivering a programme shall not constitute a breach of these terms. We will make reasonable efforts to reschedule or provide alternatives in such circumstances.
SECTION 11
Indemnification
You agree to indemnify and hold harmless Lateflint, its facilitators, staff, and representatives from any claims, damages, or expenses (including reasonable legal costs) arising from your breach of these terms, your misuse of programme materials, or your conduct during a programme session. This indemnification obligation will survive the conclusion of your enrolment.
SECTION 12
Termination
Either party may end their participation in a programme, subject to the withdrawal and refund terms in Section 7.
We reserve the right to remove a participant from a programme, without refund, where that participant:
- Repeatedly disrupts sessions or acts in a manner that undermines other participants' experience.
- Distributes programme materials without authorisation.
- Engages in conduct that is abusive, dishonest, or unlawful.
- Provides materially false information at the time of enrolment.
Upon termination of enrolment, access to any digital materials or online resources will cease. Sections 6, 9, 10, 11, and 13 of these terms shall survive termination.
SECTION 13
Dispute Resolution
These Terms and Conditions are governed by and shall be construed in accordance with the laws of Malaysia. The courts of Kuala Lumpur shall have exclusive jurisdiction over any dispute arising from these terms or any programme.
Before initiating any formal proceedings, we encourage both parties to attempt to resolve any dispute informally. Please write to us at [email protected] with a clear description of your concern. We will acknowledge your correspondence within five (5) working days and aim to reach a resolution within thirty (30) days.
Where informal resolution is not possible, either party may seek mediation through the Malaysian Mediation Centre or refer the matter to the appropriate courts. The Consumer Protection Act 1999 (Malaysia) and any other applicable consumer protection legislation are acknowledged and not excluded by these terms.
SECTION 14
General Provisions
- Entire Agreement: These terms, together with any programme confirmation, constitute the entire agreement between us regarding your enrolment and supersede any prior representations or discussions.
- Severability: If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision of these terms on one occasion does not waive our right to enforce that provision on any other occasion.
- Assignment: You may not transfer your rights or obligations under these terms without our prior written consent. We may transfer our obligations to another entity that assumes responsibility for continuing the programme on substantially the same terms.

SECTION 15
Changes to Terms
We may update these Terms and Conditions from time to time to reflect changes in our programmes, applicable law, or operational practices. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify enrolled participants by email.
Continued enrolment or use of our website following any changes constitutes your acceptance of the revised terms. We recommend reviewing this page periodically. If you do not agree with any updated terms, please contact us to discuss your options before your next session.
